Terms of Use

These terms of use (the "Terms") set out a binding legal agreement between users (the "User" or "Users") of the portal site (the "Portal Site") and VELDT (address: 2-D 5-18-10, Jingumae, Shibuya-Ku Tokyo, Japan), ("VELDT") relating to the Portal Site designated by VELDT (and any improvements, modifications, enhancements, fixes, update, upgrades, and future versions thereto which are provided by VELDT) and the services provided by VELDT through the Portal Site (the "Services").

THE USER'S USE OF THE SERVICES IS SUBJECT IN ALL RESPECTS TO THE TERMS, INCLUDING THE WARRANTY DISCLAIMERS, INDEMNITY AND LIMITATION ON LIABILITY PROVISIONS BELOW. PLEASE READ THE TERMS CAREFULLY BEFORE USING THE SERVICES.

1. Agreement to the Terms

In order to use the Services, the User must first register user information on the Portal Site and agree to the Terms. By accepting or agreeing to the Terms and clicking the check box, they will become effective from the date of acceptance by the User and remain in force until terminated by the User or VELDT in accordance with Article 9.

2. Services

The Users may use the following Services through their user accounts (the "User Accounts") on the Portal Site designated by VELDT.

2.1 Data upload

The Users may upload their own data to the Portal Site in a file format specified by VELDT.

2.2 Data Report

The Users may review data reports on the Portal Site for the overall statistical data processed on the basis of the data uploaded by the Users, and output them in a non-alterable format.

2.3 Causal AI Service

The Users may apply to use xCausal® as causal AI services (the "Causal AI Service"), including causal discovery and inference.

For example, the Users may use the following features in xCausal®.
· Dashboard
· Causal Discovery (Multiple Algorithms)
· Causal Inference (Average Treatment Effect / Stratified Average Treatment Effect)
· Smallytics® Causal Variables Recommendations Feature
· Natural Direct Effect (NDE) / Natural Indirect Effect (NIE) Estimation
· Robustness Test
· Root Cause Analysis (RCA)
· Conditional Average Treatment Effect (CATE)
· Assistant functions using AI agents and an interactive UI (“Causal AI Assistant”)
· Data Augmentation Feature

The menus and the content of features provided may be added, removed, modified, and updated.
Please note that the Causal AI Assistant is implemented through customized solutions based on User enquiries.
Furthermore, when using the Data Augmentation Feature, a per-use charge shall apply in addition to the xCausal® system usage fee. For details of the charges, please refer to the system pricing plans separately set out by VELDT.

3. User Obligations

The Users shall bear the following obligations in receiving the Services.

3.1 Registration of User information

The Users shall register accurate and up-to-date user information. In the event that the registered information is changed, the Users shall promptly change the registered information on the Portal Site.

3.2 Management of User Accounts and passwords

The Users are required to create the User Accounts and set a password. Only one User may use the Portal Site per User Account. If the User wishes to use it for more than 1 person, the User shall obtain an account for the number of people. In order to protect the User Account of the User, the password will be secretly managed and not shared with a third party, or use it for any third-party website or service. VELDT reserves the right to rely on the fact that such actions were performed by the User or on the User behalf.

If the User knows that there is a risk that the User Account and password have been or may have been disclosed to a third party, or that the User Account has been or may have been used by a third party, the User shall immediately report it to VELDT.

3.3 Uploading and licensing User's marks or logos

The User shall upload a mark or logo that indicates the User's company name, etc., to the Portal Site. The User shall grant VELDT a license to use the uploaded mark or logo, including displaying it on VELDT's website or presentation materials or other similar materials as a company using data services provided by VELDT.

3.4 Customers, etc., Consent to Provision of Personal Information to VELDT

When the User provides VELDT with personal information of a third party, including data of Customers, etc., the User shall obtain the prior consent of a third party, including the Customer, etc., and shall report the circumstances of the acquisition to VELDT. If requested by VELDT, the User shall provide a more detailed report.

3.5 Correct data upload

When uploading data, the Users shall upload accurate data and shall be responsible for any damages arising from the upload, including damages resulting from the upload of incorrect data. The Users shall defend, indemnify, and hold harmless VELDT and its employees, agents, directors, and officers from and against any such damages.

3.6 Management of information and analysis results provided by the Services

The Users may use information and analysis results provided by the Services, including data reports and causal discovery and inference results, for the sole purpose of their internal use within the Portal Site, and shall not disclose the information and analysis results of the Portal Site to third parties without the prior written permission of VELDT.

3.7 System and browser management

The User shall comply with the system and browser requirements for using the Portal Site and this system specified by VELDT and changed from time to time, and shall be responsible for preparation and management.

3.8 Prohibited Acts

The Users shall not engage in any of the following prohibited acts with respect to the Portal Site.

  1. (a) Sublicense, sell, assign, rent, rent, export, import, distribute or transfer any rights in the Portal Site and the Services to any third party in any way.
  2. (b) Modify, create derivatives or improvements of, translate, reverse engineer, decompile, disassemble, decrypt, imitate, hack, discover source code or protocols or attempt, undertake, cause, permit or authorize any of these acts with respect to the Portal Site or any part thereof or its functions.
  3. (c) Remove, obscure, or alter any copyright or other proprietary notices contained in the Portal Site.
  4. (d) Remove, disable, circumvent, or otherwise create or implement circumvention protections for copy protection, rights management, or security features of the Portal Site. Intentionally transmitting harmful computer programs to the Portal Site, VELDT's servers or other facilities, or engaging in any other act that may interfere with VELDT's business operations.
  5. (e) Violate the property rights (including intellectual property rights), privacy, reputation or other rights of VELDT or any third party.
  6. (f) Use the Services for any illegal or unauthorized purpose.
  7. (g) Impersonate any third party to use the Services.
  8. (h) Any other act that may fall under any of the preceding items or any similar act.

4. Warranty Exclusions, Limitation of Liability, Disclaimer

4.1 Non-warranty regarding data reports

The data reports provided on the Portal Site are reports on processed results based on data uploaded by the Users, and VELDT does not guarantee the accuracy or reliability of the Users' uploaded data.

4.2 Non-warranty regarding Data Augmentation Feature

The Data Augmentation Feature provided by VELDT is a service that enables Users to expand their small-scale data into large-scale data and is characterized by the fact that Users build models at their own risk. The Users shall understand that the accuracy of the large-scale data depends on the model they have built, as well as the volume and accuracy of the data they have input. Furthermore, VELDT disclaims all liability for any inaccuracies, incompleteness, or errors in the input or output data. The Users shall, at their own risk, correct, add to or supplement their small-scale data.

4.3 Non-warranty regarding the Causal AI Service

The causal discovery, inference, and other outputs provided by the Causal AI Service on the Portal Site do not constitute any form of advice, and VELDT does not guarantee the accuracy or reliability of the results.

Furthermore, the Users shall acknowledge and agree to the following regarding the generative AI provided by VELDT on the Portal Site and the generative AI provided by third parties:

  1. (a) VELDT shall not be liable in any way for any inaccuracies, incompleteness or errors in the outputs;
  2. (b) VELDT shall not be liable in any way for any biases, limitations or inaccuracies inherent in the underlying models, algorithms or data;
  3. (c) VELDT shall not be liable in any way for outputs that may be inappropriate for the User's intended purpose;
  4. (d) The User shall bear sole responsibility for all use of the output results and for assessing their accuracy and suitability for the User's purposes;
  5. (e) The output results may not be unique and may generate identical or similar output results for multiple Users; and
  6. (f) The data entered by the User shall be used for machine learning within the generative AI utilized by the User, and statistical information shall be created on the basis thereof.

4.4 Use of Third-Party Content

The Causal AI Service provided on the Portal Site may include software (such as open-source software), materials, functions, AI services, training models and other content developed by third parties ("Third-Party Content"). Your use of Third-Party Content may be subject to additional terms and conditions set out by the relevant third party.

VELDT makes no warranties whatsoever regarding the content, accuracy, reliability, truthfulness, merchantability or fitness for a particular purpose of Third-Party Content, and VELDT shall not be liable for Users' access to or use of such Third-Party Content.

4.5 Other Non-Warranty

THE PORTAL SITE AND THE SERVICES ARE PROVIDED "AS IS".

VELDT shall have no obligation to modify the content of the Services, including data reports and the Causal AI Service, or items available on the Portal Site.

VELDT will, to the extent reasonably possible, correct defects and bugs occurring in the Portal Site, but shall have no obligation to correct all defects or bugs. VELDT does not warrant that the Portal Site will be free from errors, malfunctions, defects, or other problems, nor does VELDT warrant non-infringement of third-party rights, merchantability, fitness for the User's particular purpose, or any other matter not expressly set forth in these Terms. The systems and browsers specified by VELDT for the provision of the Services may be changed from time to time, and VELDT does not warrant that it will continue to support use of the Portal Site with the systems or browsers available when the User commenced using the Services.

VELDT shall not be held responsible for any consequences resulting from the use or inability of the User to use the Services.

4.6 Limitation of Liability

To the maximum extent permitted by applicable law, VELDT shall not be liable for any bodily injury, or for any incidental, special, direct, or consequential damages, including, without limitation, damages for loss of profits, or loss of or damage to data, arising out of or in connection with the use of, or inability to use, the Portal Site or the Services. This limitation of liability shall apply whether the claim is based in contract, tort, or any other theory of liability.

4.7 Indemnification

The Users shall agree to defend, indemnify and hold harmless VELDT, its employees, agents, directors and officers from and against any and all claims, losses, costs, lawsuits, fines, penalties, liability and expenses (including fees for attorneys and other professionals) arising out of or in connection with the User's use or misuse of the Portal Site or this Service, the provision of data to VELDT, the use of data generated by generative AI, any breach of these Terms, or any infringement of the rights of third parties, or any negligent or intentional unlawful acts. VELDT may, at its sole discretion, defend and determine the course of action regarding matters for which the User has undertaken to provide indemnification. In such cases, the User shall cooperate with VELDT in respect of any available defenses.

5. Handling of data provided by Users

5.1 User Warranties

The Users shall represents and warrants to VELDT that (i) the personal data provided by the Users to VELDT, including data of the Customer, etc., is lawful to obtain, and (ii) the Users lawfully provides the personal data to VELDT by obtaining the consent of the person to whom the personal data pertains or by other means.

5.2 Data usage rights

With respect to the data provided to VELDT by the Users, including data of Customers, etc., VELDT shall have the right to manage, use, and process such data within the servers and software managed by VELDT for the purpose of providing the Services (including the improvement of the Services). If VELDT and the User separately agree on the handling of the User's data, VELDT shall handle such data in accordance with the terms of that agreement with respect to that User.

5.3 Data deletion

When VELDT reasonably determines that the use or use of the data provided by the User to VELDT violates or is likely to violate the Terms of Use or laws and regulations, VELDT may delete such data from the platform or take other appropriate measures. If the User terminates the use of the Services, VELDT shall delete the data provided by the User upon the User's request.

5.4 Deletion of data according to customer instructions

Even during the User's usage period, the Customers, etc., may, at their own discretion, terminate the storage of data on VELDT's server, or request deletion of data in certain cases. Upon termination of data storage on VELDT's servers or acceptance by VELDT of a data deletion request, customer data, including data provided by the User, will be deleted from VELDT's servers.

6. Interruption of the Services

VELDT may, from time to time, perform maintenance or upgrades to the Portal Site, the Services, or the underlying infrastructure that enables their operation. During such maintenance or until such upgrades are completed, VELDT may temporarily suspend or limit the User's access to or use of the Portal Site or the Services, in whole or in part. VELDT may also temporarily suspend or limit the Portal Site or the Services, in whole or in part, in the event of a failure of communication equipment, fire, power outage, natural disaster, or any other circumstance that makes it difficult to provide the Services, or where VELDT otherwise determines that such suspension or limitation is unavoidable. To the maximum extent permitted by applicable law, VELDT shall not be liable for any damages arising out of or in connection with such suspension or limitation of the Portal Site or the Services.

7. Usage Fee

7.1 Usage Fee

The fees for the Services shall be as separately specified by VELDT. Even if, during the contract term, the User is unable to use the Services due to the circumstances set forth in Article 6, the User shall remain liable for the fees for the Services during such period. VELDT may change the fees for the Services from time to time. If the User renews the Services, the fees specified by VELDT and in effect at the time of renewal shall apply.

7.2 Payment Methods

The User shall pay the usage fee for the Services within the scope specified by VELDT by the credit card payment registered on the Portal Site, or bank transfer based on the terms separately agreed in the agreement or estimate, by the due date specified by VELDT.

8. Ownership

8.1 Copyright

Content and compilations of content contained in the Portal Site and the Services, i.e., sounds, text, graphics, logos, icons, images, audio clips, digital downloads, software, etc., (but not limited to) are the property of VELDT, its affiliates or licensors and are protected by Japanese and international copyright laws. The User shall not reproduce these contents protected under the Copyright Act without the express permission of VELDT.

8.2 Ownership of the Portal Site and the Services

VELDT or its licensors have exclusive ownership of all intellectual property rights contained in the Portal Site and the Services (anywhere in the world). The User shall not take any action that jeopardizes, limits, or interferes with the intellectual property rights of VELDT contained in the Portal Site and the Services.

8.3 Trademarks

"VELDT", "xCausal", "Smallytics" and related trademarks and logos are trademarks of VELDT. VELDT has registered and applied for trademark registration in many countries around the world. The User shall not use VELDT's trademarks, trade dress, or other branding in connection with any product or service not provided by VELDT in any manner that is likely to cause confusion, imply endorsement by VELDT, or otherwise damage VELDT's reputation. The Users are not permitted to register any of VELDT's intellectual property (in whole or in part) or confusingly similar trade names, trademarks, logos, domain names or other names or signage, and the Users may not use them.

9. Termination of the services

9.1 Expired

The period of use of the Services shall be from the date of commencement of use to the expiration of the period selected by the User from among the periods provided by VELDT separately. If there is no indication of intention by the User or VELDT by the day before the expiration date, it will be renewed for the same period as the period selected by the User, and the same shall apply thereafter. VELDT shall notify the User of the renewal terms, including the updated usage fee, at least one (1) month prior to the expiration of the then-current term, and the terms and conditions after renewal shall be in accordance with such notification.

9.2 Termination due to VELDT's circumstances

VELDT may terminate the Services for its own convenience, and when terminating the Services, VELDT will notify the User at least 3 months prior to the date of termination.

9.3 Termination by VELDT

Notwithstanding Sections 9.1 and 9.2, VELDT reserves the right, without prejudice to any other rights or remedies available to it, to terminate the Services immediately without prior notice and without liability in any of the following circumstances:

  1. (a) VELDT believes that the User has violated these Terms.
  2. (b) VELDT believes that User's use of the Portal or the Services violates any law or violates the rights of a third party. If there is reasonable suspicion, or if the User gives or threatens to harm VELDT or a third party.
  3. (c) In the event that User's promissory note or check is dishonored or the User is suspended from banking transactions, in the event of execution by public authority such as auction, compulsory execution, or disposition of tax delinquency, bankruptcy petition, civil rehabilitation, organizational restructuring, or special liquidation, or in the event of a petition for such procedures, a dissolution resolution will be passed, or violates Article 10.1 or 10.2, or there is a material breach of these Terms that damages the relationship of trust between VELDT and the User.

9.4 Effects of Termination

Upon termination of the Services, the User's right to use the Portal Site and the Services shall immediately terminate. Except in the case of termination by VELDT pursuant to Article 9.2, VELDT shall not refund any usage fees for the Services that have already been paid, regardless of the reason. If VELDT terminates the Services pursuant to Article 9.2, VELDT shall refund to the User an amount equivalent to the usage fees for the remaining contract period, calculated on a monthly pro rata basis (with any partial month rounded down on a daily basis).

10. Exclusion of Antisocial Forces

10.1

The User shall agree that the User and the User's officers (including de facto officers and those with substantial management rights) do not currently fall into any one of the following categories and shall ensure that they do not fall into any of the following categories in the future.

  1. (a) Organized crime groups, gang members, former members of organized crime groups, semi-members of organized crime groups, companies affiliated with organized crime groups, corporate racketeers, etc., trolls or special intelligence violence under the guise of social movements, etc., groups, etc., or other equivalent persons (hereinafter referred to as "anti- social forces")
  2. (b) Having a relationship where it is recognized that anti-social forces control the management
  3. (c) Having a relationship in which antisocial forces are deemed to be substantially involved in management
  4. (d) Having a relationship that is deemed to involve unjustified use of anti-social forces, such as for the purpose of gaining unjustified benefits for the User or a third party or for the purpose of inflicting damage on a third party,
  5. (e) Having a relationship that is recognized as being involved in providing funds, etc., or providing convenience to anti-social forces, or
  6. (f) Any officer or person substantially involved in management has a socially reprehensible relationship with an anti-social force.

10.2

The Users promise not to engage in any of the following acts either by themselves or by using third parties.

  1. (a) Violent demands
  2. (b) Unreasonable demands beyond legal liability
  3. (c) Threatening behavior or use of violence in connection with a transaction
  4. (d) Disseminate rumors, use fraud or force to damage the reputation of the other party, or interfere with the business of the other party, or
  5. (e) Any other conduct equivalent to the preceding items.

10.3

The Users shall cooperate with investigations conducted by VELDT for the purpose of confirming whether or not they violate Article 10.1.

10.4

In the event that the User violates or is likely to violate the preceding articles, the User shall immediately notify VELDT.

11. Other terms

11.1

VELDT reserves the right to modify the Terms and conditions provided for use of the Portal Site and the Services, for example to reflect changes in the law or changes in the use of the Portal and the Services. VELDT may change the Terms or other additional terms. The Users should check the Terms periodically. Changed additional terms will be posted within the Services. Changes will be effective immediately upon publication. The User understands that the User's express consent or use of the Portal Site or the Services after the date of publication shall be deemed as the User's agreement to the updated Terms.

11.2

VELDT may collect voluntary feedback from Users in order to improve the quality of the Services provided on this Portal Site.

11.3

Even if a User fails to comply with this agreement and VELDT does not take immediate action, it does not mean that it constitutes a waiver of VELDT's rights (e.g. possible future actions).

11.4

The Users shall agree that any violation or potential violation of the Terms by the Users will result in irreparable damage to VELDT that cannot be adequately remedied, and that VELDT's legal rights and remedies under the law, VELDT shall be entitled, where appropriate, to seek equitable relief, including injunctive relief. Each provision of these Terms shall be enforced to the maximum extent permitted by applicable law, unless prohibited or restricted by law. If any provision of these Terms is determined by a court of competent jurisdiction or other competent authority to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.5

The Users may not assign this Agreement or any rights and obligations contained herein. VELDT may assign all rights and obligations hereunder to any third party without prior notice.

11.6

This Agreement shall be governed by and construed in accordance with the laws of Japan. All claims arising out of or relating to this Agreement or the Services shall be subject to the Tokyo District Court of Japan.
