Terms of Use

These terms of use (the "Terms") set out a binding legal agreement between users (the "User" or "Users") of the portal site (the "Portal Site") and VELDT (address: 2-D 5-18-10, Jingumae, Shibuya-Ku Tokyo, Japan), ("VELDT") relating to the Portal Site designated by VELDT (and any improvements, modifications, enhancements, fixes, update, upgrades, and future versions thereto which are provided by VELDT) and the services provided by VELDT through the Portal Site (the "Services").

THE USER'S USE OF THE SERVICES IS SUBJECT IN ALL RESPECTS TO THE TERMS, INCLUDING THE WARRANTY DISCLAIMERS, INDEMNITY AND LIMITATION ON LIABILITY PROVISIONS BELOW. PLEASE READ THE TERMS CAREFULLY BEFORE USING THE SERVICES.

1. Agree to these Terms

In order to use the Services, the User must first register user information on the Portal Site and agree to the Terms. By accepting or agreeing to the Terms and clicking the check box, they will become effective from the date of acceptance by the User and remain in force until terminated by the User or VELDT in accordance with Article 9.

2. Services

The Users may use the following Services through their user accounts (the "User Accounts") on the Portal Site designated by VELDT.

2.1 Acquisition of identification codes

The User shall obtain the identification code assigned to each data on the Portal Site and use it for the Services.
The identification codes may be used to identify the User's data and may also be used to link data obtained from “you'd application”, VELDT's healthcare application, by notifying the User's individual customers and others. (the “Customers, etc.”).

2.2 Data upload

The Users may upload their own data to the Portal Site in a file format specified by VELDT. At that time, the identification code will be obtained and assigned as a data ID for use on the Portal Site. In addition, if the Customers, etc., permit the linkage with his/her data uploaded by the User by entering the identification code into the application, the uploaded data will be stored in VELDT's servers in association with the User of “you'd application” who used the identification codes.

2.3 Data Report

The Users may review data reports on the Portal Site for the overall statistical data processed on the basis of the data uploaded by the User and the anonymous data collected through “you'd application”, and output them in a non-alterable format.

2.4 Causal AI Service

The Users may apply to use one of the following two versions as causal AI services (the “Causal AI Service”), including causal search and inference.

Basic Version
When the Users apply for the Basic Version, the Users may use the standard services on the Portal Site concerning causal search and inference. The content of the basic version may be renewed sometimes.

Advanced Version
When the Users apply for the Advanced Version, in addition to the Basic Version which is the standard of the causal search and inference service, the Users can use additional functions such as the function of the higher level causal search and inference, the robustness evaluation function, and a function to search for papers. The content of the advanced version may be added or renewed.

3. User Obligations

The Users shall bear the following obligations in receiving the Services.

3.1 Registration of User information

The Users shall register accurate and up-to-date user information. In the event that the registered information is changed, the Users shall promptly change the registered information on the Portal Site

3.2 Management of User Accounts and passwords

The Users are required to create the User Accounts and choose a password. Only one User may use the Portal Site per User Account. If the User wishes to use it for more than 1 person, the User shall obtain an account for the number of people. In order to protect the User Account of the User, the password will be secretly managed and not shared with a third party, or use it for any third-party website or service. VELDT reserves the right to rely on the fact that such actions were performed by the User or on the User behalf.

If the User knows that there is a risk that the User Account and password have been or may have been disclosed to a third party, or that the User Account has been or may have been used by a third party, the User shall immediately report it to VELDT.

3.3 Uploading and licensing User’s marks or logos

The User shall upload a mark or logo that indicates the User's company name, etc., to the Portal Site. The User shall grant VELDT a license to use the uploaded mark or logo, including displaying it on VELDT's website or presentation materials or other similar materials as a company using data services provided by VELDT.

3.4 Customers, etc., Consent to Provision of Personal Information to VELDT

When the User provides VELDT with personal information of a third party, including data of Customers, etc., the User shall obtain the prior consent of a third party, including the Customer, etc., and shall report the circumstances of the acquisition to VELDT. If requested by VELDT, the User shall provide a more detailed report.

3.5 Identification Code Management

The Users shall be responsible for the management of the identification code, including the correspondence between the User's data and the identification codes. If the Users notify the identification codes to the Customers, etc., the Users shall be responsible for notifying the Customers, etc., of identification codes, and for managing the correspondence between the Customers, etc., and personal codes.

3.6 Correct data upload

When uploading data, the Users shall upload correct data and shall defend, indemnify, and hold harmless VELDT or any of VELDT's employees, agents, directors, or officers.

3.7 Processing and management of personal information disclosed by VELDT for data upload

The User shall use personal information, including the user ID of the Customer, etc., disclosed by VELDT for data upload only for the purpose of uploading data in Article 2.2. In addition, when receiving, processing, and managing the personal information, the obligation to confirm and record when receiving personal data, publicize the purpose of use, secure security control measures, etc., shall comply with the Personal Information Protection Act.

3.8 Management of information and analysis results provided by the Services

The Users may use information and analysis results provided by the Services, including data reports and causal search and inference results, for the sole purpose of their internal use within the Portal Site, and shall not disclose the information and analysis results of the Portal Site to third parties without the prior written permission of VELDT.

3.9 System and browser management

The User shall comply with the system and browser requirements for using the Portal Site and this system specified by VELDT and changed from time to time, and shall be responsible for preparation and management.

3.10 Prohibited Acts

The Users shall not engage in any of the following prohibited acts with respect to the Portal Site.

  1. (a) Sublicense, sell, assign, rent, rent, export, import, distribute or transfer any rights in the Portal Site and Services to any third party in any way.
  2. (b) Use the anonymous data that can be viewed on this portal site, restore, tamper with, or modify the anonymous data to data that can identify a specific individual by any means or process to attempt this
  3. (c) Modify, create derivative works of, improve, translate, reverse engineer, decompile, disassemble, modify, modify, create derivative works from, translate, reverse engineer, decompile, disassemble, or modify the Portal, any portion thereof, or any functionality thereof. Undertake, cause, authorize, or authorize any deciphering, counterfeiting, hacking, discovery or attempted discovery of source code or protocols.
  4. (d) Remove, obscure, or alter any copyright or other proprietary notices contained in the Portal.
  5. (e) Remove, disable, circumvent, or otherwise create or implement circumvention protections for copy protection, rights management, or security features of the Portal. Intentionally transmitting harmful computer programs to portal sites, VELDT's servers or other facilities, or engaging in any other act that may interfere with VELDT's business operations.
  6. (f) Violate the property rights (including intellectual property rights), privacy, reputation or other rights of VELDT or any third party.
  7. (g) Use the Services for any illegal or unauthorized purpose.
  8. (h) Impersonate any third party to use the Service.
  9. (i) Any other act that may fall under any of the preceding items or any similar act.

4. Warranty Exclusions, Limitation of Liability, Disclaimer

4.1 Non-warranty regarding data reports

The data reports provided on the Portal Site are reports on processed results based on anonymous data collected through “you'd application”, or data uploaded by the Users. Anonymous data includes data collected based on the data entered by the user of “you'd application” and the user of “you'd application” enters the data voluntarily, and VELDT does not guarantee the accuracy or certainty of the user's input.

4.2 Non-guarantee of causal search and inference results in the Causal AI Service

The causal search and inference results presented in the Causal AI Service provided on the Portal Site do not constitute medical diagnosis or advice, nor do they guarantee the accuracy or certainty of the results.

The article search functionality provided in the Advanced Version of the Causal AI Service is provided using the Semantic ScholarTM article database. VELDT does not guarantee the accuracy, certainty, or truthfulness of the articles retrieved by the article search function.

In addition, if the Users use the article search function in Japanese and the article cited by the function is written in a foreign language, DeepLTM will automatically provide the Users with a translation of the results. VELDT does not guarantee the accuracy or certainty of the results of such translation. When using the article search and translation functions, the search keywords and the text to be translated will be sent to Semantic ScholarTM and DeepLTM via VELDT without identifying the Users. Semantic ScholarTM and DeepLTM may create statistical information and perform machine learning based on the information sent from VELDT.

4.3 No Warranty

THE PORTAL SITE AND THE SERVICES ARE PROVIDED "AS IS".

VELDT may change the contents of the Services, including data reports and the Causal AI Service, and customize the queries and items of the Portal Site according to the requests of the User.

VELDT will, as far as possible, correct defects and bugs that occur in the Portal Site, but VELDT is not obliged to correct all defects or bugs. No malfunctions, errors or other defects, non-infringement of third party rights, merchantability, fitness for the User's particular purpose, or any other matter not expressly set forth in this Agreement. In providing the Services, the system and browser specified by VELDT may be changed from time to time by VELDT, and VELDT will continue to support the use of the Portal Site with the system and browser at the time the User starts using the Services. VELDT shall not guarantee that.

VELDT shall not be held responsible for any consequences resulting from the use or inability of the User to use the Services.

4.4 Limitation of Liability

To the maximum extent permitted by law, VELDT shall not be liable for any loss of profits or data. IN NO EVENT SHALL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, DIRECT OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OR DAMAGE TO, OR CONSEQUENTIAL, SPECIAL, DIRECT OR CONSEQUENTIAL DAMAGES. whether included in, tort, or included in any other theory of liability.

4.5 Compensation

The Users shall not use or misuse the Portal Site or the Services, or the data provided by VELDT, violate the Terms, violate the rights of third parties. All claims, losses, costs, actions, fines, fines, penalties, liabilities and expenses (including the costs of attorneys and other professionals) arising out of or related to negligence or willful misconduct. The User agrees to defend, indemnify and hold harmless our employees, agents, directors and officers. VELDT may have its own exclusive defense and decisions on matters for which the Users are promised indemnification. However, in that case, the Users shall cooperate with possible defenses.

5. Handling of data provided by Users

5.1 User Warranties

The Users shall represents and warrants to VELDT that (i) the personal data provided by the Users to VELDT, including data of the Customer, etc., is lawful to obtain, and (ii) the Users lawfully provides the personal data to VELDT by obtaining the consent of the person to whom the personal data pertains or by other means.

5.2 Data usage rights

With respect to data provided to VELDT by the Users, including customer data, VELDT has the right to manage, use, or process any data within the servers and software managed by VELDT. In addition, if the data provided by the Users to VELDT contains intellectual property rights, the Users shall grant VELDT all use (including modification, etc.) of such intellectual property rights.

5.3 Data deletion

When VELDT reasonably determines that the use or use of the data provided by the User to VELDT violates or is likely to violate the Terms of Use or laws and regulations, VELDT may delete such data from the platform or take other appropriate measures. However, if the data provided by the User includes data used by the "you'd application" of Customers, etc., and the customer uses VELDT's server, the customer's "you'd application" shall not be obligated to delete any data used by the Application.

5.4 Deletion of data according to customer instructions

Even during the User's usage period, the Customers, etc., may, at their own discretion, terminate storage on VELDT's server, or request deletion of data in certain cases. Therefore, along with the end of storage on VELDT's servers and acceptance of data deletion requests from VELDT's servers, customer data, including data provided by the User, will be deleted from VELDT's servers.

6. Interruption of the Services

VELDT may from time to time perform maintenance or upgrades to the Portal Site or the Services, or to the underlying infrastructure that enables their use. In this case, such maintenance or until the upgrade is completed, VELDT may be required to temporarily suspend or limit the User's use of the Portal Site or the Services in whole or in part. Temporary provision of the Services in the event of communication equipment failure, fire, power outage, or natural disaster that makes it difficult to provide the Services, or in other cases where VELDT determines that it is unavoidable to suspend the Services. To the extent permitted by law, VELDT shall not be liable for any damages arising from the suspension or limitation of the use of the Portal Site or the Services.

7. Usage Fee

7.1 Usage Fee

The usage fee for the Services is as provided by VELDT separately. During the contract period, the User cannot use the Services due to Article 6 of this agreement. The User shall bear the usage fee for the Services during such period. VELDT may change the fees for the Services, and if the User renews the Services, the fees provided by VELDT at the time of renewal will be applied.

7.2 Payment Methods

The User shall pay the usage fee for the Services within the scope specified by VELDT by the credit card payment registered on the Portal Site, by the due date specified by VELDT. Fees will be paid in the order in which they arrive.

8. Ownership

8.1 Copyright

Content and compilations of content contained in the Portal Site and the Services, i.e., sounds, text, graphics, logos, icons, images, audio clips, digital downloads, software, etc., (but not limited to) are the property of VELDT, its affiliates or licensors and are protected by Japanese and international copyright laws and may not be reproduced without the express permission of VELDT.

8.2 Ownership of the Portal Site and the Services

VELDT or its licensors have exclusive ownership of all intellectual property rights contained in the Portal Site and the Services (anywhere in the world). The User may not take any action that jeopardizes, limits, or interferes with VELDT's intellectual property rights contained in the Portal Site and the Services.

8.3 Trademarks

"VELDT" and related trademarks and logos are trademarks of VELDT. VELDT has registered and applied for trademark registration in many countries around the world. Use of VELDT's trademarks and trade dress in connection with products or services not owned by VELDT in a manner that is likely to cause confusion among customers, or in a manner that may discredit VELDT. The Users are not permitted to register any of VELDT's intellectual property (in whole or in part) or confusingly similar trade names, trademarks, logos, domain names or other names or signage, and the Users may not use them.

9. Termination of this service

9.1 Expired

The period of use of the Services shall be from the date of commencement of use to the expiration of the period selected by the User from among the periods provided by VELDT separately. If there is no indication of intention by the User or VELDT by the day before the expiration date, it will be renewed for the same period as the period selected by the User, and the same shall apply thereafter. By then, the User shall be notified of the Terms, including the updated usage fee, and the Terms after the update shall comply with the contents of the notification.

9.2 Termination due to VELDT's circumstances

VELDT may terminate the Services for its own convenience, and when terminating the Services, VELDT will notify the User at least 3 months prior to the date of termination.

9.3 Termination by removal from VELDT

Notwithstanding the provisions of Articles 9.1 and 9.2, VELDT shall not, without prejudice to any rights or remedies VELDT may have, reserve the right to terminate the Services immediately without notice in any of the following cases without liability.

  1. (a) VELDT believes that you have violated these Terms.
  2. (b) VELDT believes that your use of the Portal or the Services violates any law or violates the rights of a third party. If there is reasonable suspicion, or if the user gives or threatens to harm VELDT or a third party.
  3. (c) In the event that user's promissory note or check is dishonored or the user is suspended from banking transactions, in the event of execution by public authority such as auction, compulsory execution, or disposition of tax delinquency, bankruptcy petition, civil rehabilitation, organizational restructuring, or special liquidation, or in the event of a petition for such procedures, a dissolution resolution will be passed, or violates Article 10.1 or 10.2, or there is a material breach of these Terms that damages the relationship of trust between VELDT and the user

9.4 End result

When the Services are terminated, the User's right to use the Portal Site and the Services shall immediately terminate. In the event that VELDT terminates the Services pursuant to the provisions of Article 9.2, VELDT will not refund the usage fee for the Services that has already been paid, regardless of the reason. It shall be refunded to the User on a pro-rata basis (rounded down on a daily basis).

10. Elimination of Antisocial Forces

10.1

The User shall agree that the User and the User's officers (including de facto officers and those with substantial management rights) do not currently fall into any one of the following categories and shall ensure that they do not fall into any of the following categories in the future.

  1. (a) Organized crime groups, gang members, former members of organized crime groups, semi-members of organized crime groups, companies affiliated with organized crime groups, corporate racketeers, etc., trolls or special intelligence violence under the guise of social movements, etc., groups, etc., or other equivalent persons (hereinafter referred to as "anti- social forces")
  2. (b) Having a relationship where it is recognized that anti-social forces control the management
  3. (c) Having a relationship in which antisocial forces are deemed to be substantially involved in management
  4. (d) Unfairly using anti-social forces, such as for the purpose of unfairly benefiting yourself or a third party, or for the purpose of causing damage to a third party. having a relationship that is considered to be
  5. (e) Having a relationship that is recognized as being involved in providing funds, etc., or providing convenience to anti-social forces, or
  6. (f) Any officer or person substantially involved in management has a socially reprehensible relationship with an anti-social force.

10.2

Users promise not to engage in any of the following acts either by themselves or by using third parties.

  1. (a) Violent demands
  2. (b) Unreasonable demands beyond legal liability
  3. (c) Threatening behavior or use of violence in connection with a transaction
  4. (d) Disseminate rumors, use fraud or force to damage the reputation of the other party, or interfere with the business of the other party, or
  5. (e) Any other conduct equivalent to the preceding items.

10.3

The Users shall cooperate with investigations conducted by VELDT for the purpose of confirming whether or not they violate Article 10.1.

10.4

In the event that the User violates or is likely to violate the preceding articles, the User shall immediately notify VELDT.

11. Other terms

11.1

VELDT reserves the right to modify the Terms and conditions provided for use of the Portal Site and the Services, for example to reflect changes in the law or changes in the use of the Portal and the Services. VELDT may change the Terms or other additional terms. The Users should check the Terms periodically. Changed additional terms will be posted within the Services. Changes will be effective immediately upon publication. The User understands that the User's express consent or use of the Portal Site or the Services after the date of publication shall be deemed as the User's agreement to the updated Terms.

11.2

Even if a User fails to comply with this agreement and VELDT does not take immediate action, it does not mean that it constitutes a waiver of VELDT's rights (e.g. possible future actions).

11.3

The Users shall agree that any violation or potential violation of the Terms by the Users will result in irreparable damage to VELDT that cannot be adequately remedied, and that VELDT's legal rights and remedies under the law, VELDT shall be entitled, where appropriate, to seek equitable relief, including injunctive relief. Nothing in this Agreement shall be barred or barred from seeking statutory relief other than at law, and each term of the Terms shall apply to the fullest extent permitted by law unless restricted or prohibited by law. If any court or competent authority determines that any particular provision of the Terms is not permitted by law or is unenforceable, the remaining provisions shall remain in full force and effect.

11.4

The Users may not assign this Agreement or any rights and obligations contained herein. VELDT may assign all rights and obligations hereunder to any third party.

11.5

This Agreement shall be governed by and construed in accordance with the laws of Japan. All claims arising out of or relating to this Agreement or the Services shall be subject to the Tokyo District Court of Japan.
